Types of Common Business Structures

January 22nd, 2010

We can’t tell you which one you should choose for your business, every situation is different, but these are the most common types that you have to choose from:

Sole Proprietorships — A sole proprietor is someone who owns an unincorporated business by himself or herself. However, if you are the sole member of a domestic limited liability company (LLC), you are not a sole proprietor if you elect to treat the LLC as a corporation.

Partnerships — A partnership is the relationship existing between two or more persons who join to carry on a trade or business. Each person contributes money, property, labor or skill, and expects to share in the profits and losses of the business.

Corporations — In forming a corporation, prospective shareholders exchange money, property, or both, for the corporation’s capital stock. A corporation generally takes the same deductions as a sole proprietorship to figure its taxable income. A corporation can also take special deductions. For federal income tax purposes, a C corporation is recognized as a separate taxpaying entity. A corporation conducts business, realizes net income or loss, pays taxes and distributes profits to shareholders.

S Corporations — An eligible domestic corporation can avoid double taxation (once to the shareholders and again to the corporation) by electing to be treated as an S corporation. Generally, an S corporation is exempt from federal income tax other than tax on certain capital gains and passive income. On their tax returns, the S corporation’s shareholders include their share of the corporation’s separately stated items of income, deduction, loss, and credit, and their share of nonseparately stated income or loss.

Limited Liability Company (LLC) — A Limited Liability Company (LLC) is a relatively new business structure allowed by state statute. LLCs are popular because, similar to a corporation, owners have limited personal liability for the debts and actions of the LLC. Other features of LLCs are more like a partnership, providing management flexibility and the benefit of pass-through taxation.

Customers, New and Old

January 8th, 2010

Well along with getting ready for the new season, its time to be thinking about getting more customers, and getting back old customers that left for one reason or another.  With the economy the way it is right now, you may want to brain storm with some of your employees, co-workers, etc. and come up with maybe a package deal of your services, good for the next 3, 6, or 12 months.  In some of our areas we have had really good luck with this, and you would be surprised at the number of customers that will pay in advance, especially if its only for a 3 or 6 month term (it also helps your cash flow).  Now for the previous customers, we’ve had some luck by offering them a package deal just for previous customers, usually with a term of 6 months.  In either case, don’t be afraid to think outside of the box, check on your competitors, their prices, services, products, and come up with a plan.  Remember just because your competition is not doing or offering it, that does not mean that it’s a bad idea, just think it thru first.

Marketing Tips to Share?

December 18th, 2008

Do any of you have any marketing tips that you would be willing to share with us? Anything that once you tried it, you just said WOW, I wish we had tried this sooner. Share with the rest of us, tell us what worked in your area, or what did not work at all. In our area, one of the first things that worked well for us, were business cards. We went to a company on the internet and placed an order for 500 business cards. Once we had the cards, we went to the local hardware store and bought a roll of magnets. This stuff can be cut with sissors, so we cut it into pieces about 1″ long and stuck it to the business cards. Then we picked a new subdivision that we wanted, and put a card on every mailbox in the subdivision. Out of about 150 cards, we got about 70 calls, and ended up with 47 customers in that area. This was just one area, and it worked better than we expected. Thats just one small example of what can work.
